my p67 motherboard died. I should be fine with a z77 right?

My motherboard powers up but my system fans are acting up, none of my usb ports work, and my VGA card won't display anything on my screen. (I've tried 2 other cards that work fine in other PC's, so I'm 95% sure it's a motherboard issue.

    Currently using: MSI p67-G45

Can anyone recommend a good motherboard for the following components? :

    i5-2500k
    evga 560 ti
    8gb ram

    AsRock Z77 Extreme4
    Asus P8Z77-V LK

Both around 130 dollars, possibly less if you get a shop rebate/MiR card.

Are either of those better than one another for overclocking? I was able to pump my 2500k to 4.4ghz with my old board. I'd like to the same.

    Both are fine for overclocking.

I'd get the ASRock, better for the money.
