I think he means he doesn't want another key to give to a friend because it's probably of no use to him, he'd rather have something like an additional boost or gametime, which would be of use to him.

Or he could get nothing which is how it used to work.

It's been always like this since classic though, when you'd get your standard edition key back if you upgraded to collector's edition.

This isn't necessarily true, it all depends on what the situation is. If you wait 3 years and claim a CE key and ask for the SE back, they're going to say no.
